SOFTWARE END USER LICENSE AGREEMENT This is an agreement between you and Garsworld, Inc. ("Garsworld"), a Washington State corporation. By downloading, installing, and using the software you accept the terms of this agreement in full. SOFTWARE USE You are authorized to use the software only in accordance with this agreement. Any rights not expressly granted herein are reserved by Garsworld. You may download and/or install the software on as many personal computers as you want, but you are limited to just one simultaneous login. You acknowledge and agree that all aspects of the software and the information contained in the software are for informational, educational, and entertainment purposes only and are not recommendations that you do or refrain from doing any particular trade or taking any particular action. Nothing contained in the software constitutes an offer to buy or sell, or a solicitation of an offer to buy or sell, any security. PROHIBITED USES OF THE SOFTWARE You agree you will not use the software for any illegal purpose or in any manner inconsistent with this agreement. You may not use the software for a non-personal or commercial purpose without the express prior consent of Garsworld. Any retransmission of any of the information contained in the software, in whole or in part, is prohibited. You agree not to share the information contained in the software with any party who is not a user of the software. You further agree not to use the software, or the information contained in the software, in any way that could compete with Garsworld. You are not permitted to sell, rent, sublicense, trade, resell, or otherwise transfer the software, or your access to the software, to another party without the express prior consent of Garsworld. You may not decompile, disassemble, reverse engineer, or otherwise attempt to derive or interfere with the code of the software. THE GARSWORLD INTELLECTUAL PROPERTY The software, other Garsworld software, all Garsworld websites, and all accompanying materials are Copyright 2005-2011 by Garsworld, all rights reserved. You may not use Garsworld's trademarks, copyrighted materials, websites, data, information, website content, screenshots of the website or software, or other proprietary information and/or data without the express prior consent from Garsworld. SOFTWARE ACCESS In order to access the software, you are required to register on Garsworld's website and create a unique user id and password. As part of the registration process you may be required to provide Garsworld with information about yourself, including identification and contact information. To access the software beyond the limited period of time designated as a trial period, you must pay Garsworld a one-time software fee, or for an ongoing service, an ongoing fee. In the event that Garsworld's costs of providing ongoing software functionality to its users increases materially, such as, for example, because of a data provider raising its rates beyond a de minimis amount or Garsworld entering into an agreement with a different data provider, you agree that Garsworld may require that you pay an annual or monthly service fee, within the range of what is customary in the industry, in order for you to maintain access to all functionality of the software. From time-to-time, Garsworld may require that you supply additional information in order for Garsworld to provide certain software functionality. You agree that all information you submit to Garsworld will be accurate. FUNCTIONALITY, UPDATES, AND SUPPORT You agree that Garsworld may temporarily interrupt any or all of the software functionality, with or without prior notice to you, due to maintenance needs, technical difficulties, or any other reason. You understand that the form and functionality of the software might not be static, and you agree that Garsworld may update the software, add or remove features, and/or otherwise change its form or functionality at any time, with or without prior notice to you. You acknowledge and agree that the functionality of the software may be decreased to a significant extent, or support for the software may be discontinued entirely, if a material adverse change occurs, or is reasonably likely to occur, in Garsworld's business condition (financial or otherwise), operations, or prospects. You further agree that Garsworld may discontinue support for the software at any time if it provides you with access to another piece of software relating to the same subject matter and having at least some of the same capabilities, without charging you another software fee. You understand and agree that certain updates to the software might be mandatory, and other updates and/or new software products from Garsworld may only be available to you at an additional cost. COMMUNICATIONS You agree that Garsworld may send you emails, including emails announcing new features or updates to the software, emails about other products or services, other commercial emails, or emails soliciting feedback about the software or your trading experiences in general. At any time you can opt out of receiving commercial emails by emailing Garsworld from the email address Garsworld has on file for you with the word "Unsubscribe" as the subject. FORUM POSTING, MESSAGING, AND RESPONSIBILITY FOR TRADING You agree that Garsworld can, at any time, with or without prior notice, restrict your ability to post in the software Forum and/or send messages to other users via the software. You agree that Garsworld can do this for any reason at all, including because of your having violated one or more of the forum rules written by Garsworld. If suspended from posting, you will still be able to read the forum posts of other users. You further agree that all comments that appear in the software Forum or are contained in private messages, are for informational, educational, and entertainment purposes only and are not recommendations that you do or refrain from doing any particular trade or taking any particular action. You agree that Garsworld does not endorse or stand behind any comments users make in the forum or via private messages. You also agree that all decisions you make to place a trade based on ANY aspect of the software, and any losses you might incur, are entirely your responsibility and not at all the responsibility of Garsworld (or its directors, officers, employees, agents, successors, attorneys, and assigns), even if negligent in one or more respects. NO WARRANTIES Garsworld shall attempt to have the information displayed in the software be as accurate, timely, and reliable as is reasonably practicable, but Garsworld does not warrant or guarantee that the information contained and displayed in the software will always or ever be accurate, timely, and reliable. WITH RESPECT TO THE SOFTWARE, ITS FUNCTIONALITY, ALL OF THE INFORMATION CONTAINED AND DISPLAYED IN THE SOFTWARE, AND ALL ACCOMPANYING MATERIALS, THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. GARSWORLD (AND ITS DIRECTOS, OFFICERS, EMPLOYEES, AGENTS, SUCCESSORS, ATTORNEYS, AND ASSIGNS) SHALL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS OR INJURY CAUSED IN WHOLE OR IN PART BY ITS NEGLIGENCE OR CONTINGENCIES BEYOND ITS CONTROL IN PROCURING, COMPILING, INTERPRETING, REPORTING, OR DELIVERING ANY INFORMATION OR SOFTWARE FUNCTIONALITY, OR BY ANY DELAYS, INACCURACIES, ERRORS IN OR OMISSIONS IN ANY OF THE INFORMATION OR THE TRANSMISSION THEREOF OR IN THE PROVISION OF THE SOFTWARE OR ITS FUNCTIONALITY OR ACCOMPANYING MATERIALS. IN NO EVENT WILL GARSWORLD (OR ITS DIRECTOS, OFFICERS, EMPLOYEES, AGENTS, SUCCESSORS, ATTORNEYS, AND ASSIGNS) BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE UPON SUCH INFORMATION OR ANYTHING ELSE RELATED TO THE SOFTWARE IN ANY RESPECT. THE SOFTWARE AND EVERYTHING RELATING TO IT ARE ALL PROVIDED "AS IS." LIMITATION OF LIABILITY IN NO EVENT, REGARDLES OF CAUSE OR NEGLIGENCE, SHALL GARSWORLD (OR ITS DIRECTOS, OFFICERS, EMPLOYEES, AGENTS, SUCCESSORS, ATTORNEYS, AND ASSIGNS) BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, TRADING LOSSES, AND/OR SYSTEM OR HARDWARE FAILURES OR CRASHES) THAT MAY RESULT FROM THE USE OF THE SOFTWARE AND INFORMATION CONTAINED IN THE SOFTWARE, OMISSIONS OR INACCURACIES IN THE INFOMRATION, ANY INVESTMENT OR TRADING ADVICE PROVIDED VIA THE SOFTWARE OR ANY REPRESENTATIVE OF GARSWORLD, OR ANY DELAY OR INTERRUPTION OF SERVICE. NO MATTER WHAT, GARSWORLD'S LIABILITY UNDER THIS AGREEMENT, IF ANY, SHALL NOT EXCEED THE SOFTWARE FEE PAID BY YOU. INDEMNIFICATION You shall indemnify and hold Garsworld and its representatives harmless from any and all claims, losses, damages, liabilities, and related expenses incurred by or asserted against Garsworld arising out of, in connection with, or as a result of the execution of this agreement or the performance by the parties hereto, IN ALL CASES, WHETHER OR NOT CAUSED BY OR ARISING, IN WHOLE OR IN PART, OUT OF THE COMPARATIVE, CONTRIBUTORY, OR SOLE NEGLIGENCE OF GARSWORLD. This indemnity includes, but is not limited to, attorneys' fees (including the allocated cost of in-house counsel). This indemnity extends to Garsworld and all of its directors, officers, employees, agents, successors, attorneys, and assigns. GOVERNING LAW, JURISTICTION, VENUE, and JURY WAIVER This agreement shall be governed and construed in accordance with the laws of Washington State, regardless of conflict of laws principles. You consent to the exclusive jurisdiction and venue of courts in Clark County, Washington in all disputes arising out of this agreement. You further hereby waive all defenses, challenges, and objections related to personal jurisdiction and venue. YOU HEREBY IRREVOCABLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY RIGHT YOU MAY HAVE TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR ANY OTHER MATTER INVOLVING THE PARTIES TO THIS AGREEMENT. DEFAULT BY CUSTOMER If Garsworld determines, in its sole discretion, that you are not in compliance with any aspect of this agreement, it has the right to immediately, without notice, suspend or terminate your access to the software, and/or to pursue any other remedies it may be entitled to at law or in equity. ASSIGNMENT You agree that you may not assign or delegate this agreement without Garsworld's express prior consent. Garsworld may assign and/or delegate this agreement and may exchange information about you with actual or potential assignees and/or delegatees. ENTIRE AGREEMENT This agreement constitutes the entire agreement between you and Garsworld, and it supersedes all prior or contemporaneous communications and understandings. Garsworld disclaims all representations not explicitly contained in this agreement, and you agree that you are neither relying on nor accepting any representation by Garsworld made outside of this agreement. AMENDMENT GARSWORLD MAY REVISE AND AMEND THIS AGREEMENT AT ANY TIME, WITHOUT PRIOR NOTIFICATION, BY PRESENTING THE UPDATED LICENSE AGREEMENT TO YOU VIA THE SOFTWARE. Garsworld shall not be bound by any amendment that is not contained in the license agreement presented in the software unless such amendment was both in writing and physically signed by Garsworld's chief officer. SEVERABILITY If any provision of this agreement is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed to be superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the rest of this agreement. The invalidity or unenforceability of any provision shall not impair the remaining provisions of this agreement, which shall remain binding and in full force and effect. WAIVER Any failure(s) or delay(s) on the part of Garsworld to exercise any right, power, or privilege under this agreement shall not operate as a waiver thereof. Nor shall any course of dealing with respect to any right, power, or privilege operate as a waiver thereof by Garsworld. Any single or partial exercise of any right, power, or privilege under this agreement by Garsworld shall not preclude any other or further exercise thereof or the exercise of any other right, power, or privilege by Garsworld under this agreement. FORCE MAJEURE Garsworld also shall not be liable to you for any failure to perform under this agreement, if such failure results, whether directly or indirectly, from such circumstances as fire, explosion, flood, natural disaster, act of God, war, civil disturbance, terrorism, act of any government, de jure or de facto, or agency or official thereof, labor shortages or disputes, transportation contingencies, unusually severe weather, default of a service provider, power shortages or failures, utility or communication failure or delays, quarantine restrictions, epidemic, catastrophe, software malfunctions, equipment failures, or supply shortages. HEADINGS Section and paragraph headings are for reference only and shall not affect the interpretation or meaning of any provisions of this agreement. ACCEPTANCE By clicking "I Accept" and/or otherwise continuing to use the software, you agree to be legally bound by all of the terms of this agreement.
